Legal Entity: Whitestone Africa is a brand of Whitestone Ventures Limited, a company registered in the Republic of Mauritius (BRN: C23200231).


1. Acceptance of Terms

By accessing our website or engaging Whitestone Ventures Limited (“Whitestone Africa”, “we”, “us”, “our”) for any service, you (“Client”, “you”) agree to be legally bound by these Terms and Conditions.

If you do not agree with any part of these Terms, you must not use our services.


2. Scope of Services

We provide digital services including, but not limited to:

  • WordPress website maintenance and optimisation
  • WordPress website management
  • WordPress website design and development
  • Content strategy and implementation

All services are delivered strictly based on the defined scope outlined in your proposal, invoice, or agreement.

Any work outside the agreed scope constitutes Additional Work and will be subject to separate quotation, approval, and billing.


3. Change Requests & Out-of-Scope Work

Any request that alters, expands, or deviates from the original agreed scope will:

  • Be classified as a Change Request
  • Require written approval before execution
  • Be billed at our standard rates or as quoted

We reserve the right to pause ongoing work until such changes are approved.


4. Client Responsibilities

Clients agree to:

  • Provide necessary access credentials in a timely and secure manner
  • Submit content, branding, and other required materials in a usable format
  • Respond to communication and approval requests promptly
  • Maintain accurate contact and billing information

Whitestone Africa shall not be liable for delays, performance issues, or additional costs arising from Client inaction, incomplete information, or late approvals.


5. Exclusions and Limitations

Our services do not include:

  • Hosting services (unless specified in writing)
  • Legal or financial advice
  • Rectifying issues caused by other service providers or third-party code
  • Malware or hack recovery unless you are on an eligible maintenance plan
  • Emergency work outside agreed maintenance scope

We are not responsible for:

  • Plugin/theme conflicts after updates
  • Hosting or DNS outages
  • Issues caused by client modifications or access granted to unauthorized third parties
  • Force majeure events

We:

  • Do not control or guarantee third-party performance
  • Are not responsible for outages, errors, pricing changes, or discontinuation of such services
  • May rely on third-party tools to deliver services

Any third-party costs are the sole responsibility of the Client unless explicitly stated otherwise.


6. Payments & Billing

  • All services are payable in advance unless otherwise agreed in writing
  • Recurring services are billed automatically on a monthly or annual basis
  • Fees are non-refundable, including setup fees and partially used billing periods

Failure to pay will result in:

  • Immediate suspension of services
  • Possible termination without liability
  • Removal of access to deliverables where legally permissible

We reserve the right to charge:

  • Late payment interest
  • Administrative recovery fees

Any chargeback or payment dispute initiated without prior written communication will result in immediate termination of services and may trigger legal recovery action.


7. Suspension of Services

We reserve the right to suspend services without notice if:

  • Payment obligations are not met
  • Client actions compromise system integrity or security
  • The Client breaches these Terms

Service restoration may be subject to additional fees.


8. Ownership & Intellectual Property

  • Custom work remains the property of Whitestone Ventures Limited until full payment is received.
  • Upon full payment, intellectual property rights of delivered materials are transferred to the client, excluding third-party assets or proprietary tools.

However:

  • We retain ownership of all pre-existing materials, frameworks, systems, and methodologies
  • Third-party assets remain subject to their respective licenses

We reserve the right to display completed work in our portfolio and marketing materials.


9. Confidentiality

We treat all access credentials and proprietary business data shared with us as strictly confidential. We will not disclose any information to third parties unless legally required or essential to service delivery (e.g., working with your hosting provider).

The Client is responsible for maintaining the security of their own systems and access credentials.


10. Service Warranties and Disclaimers

We provide services on an “as-is” and “as-available” basis. While we take every reasonable measure to ensure quality and reliability:

  • We do not guarantee uninterrupted website performance.
  • We are not liable for traffic loss, ranking drops, or business loss resulting from technical issues.
  • We do not warrant that plugins, themes, or third-party software will function without fault.

The Client acknowledges that websites require ongoing maintenance and that performance may fluctuate.


11. Limitation of Liability

To the fullest extent permitted by law, Whitestone Ventures Limited will not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of revenue, profits, or business opportunities
  • Data loss, corruption, or security breaches
  • Website downtime or performance issues

Our total liability shall not exceed the total fees paid by the Client within the previous one (1) month for the affected service.


12. Indemnification

The Client agrees to indemnify and hold Whitestone Ventures Limited harmless from any claims, damages, liabilities, or legal costs arising from:

  • Content provided by the Client
  • Misuse of the website
  • Breach of applicable laws or third-party rights

13. Termination & Cancellation

We reserve the right to terminate services for:

  • Non-payment
  • Abuse or harassment
  • Breach of these Terms
  • Use of services for unlawful or unethical purposes

The Client may terminate services with 7 days written notice.

No refunds will be issued for any prepaid services.


14. Force Majeure

We shall not be held liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Internet or infrastructure failures
  • Government actions
  • Cyber incidents

15. International Clients & Legal Jurisdiction

We serve clients worldwide. However, all agreements and disputes shall be governed by and construed in accordance with the laws of the Republic of Mauritius, without regard to any conflict of law principles.

Any legal action must be brought in the courts located in Mauritius, and you consent to the exclusive jurisdiction of those courts.


16. Changes to These Terms

We reserve the right to update these Terms at any time.

Continued use of our services constitutes acceptance of the revised Terms.
